In a filing to stock exchanges, the company said restructuring of outstanding debt will be in accordance with MRA terms.

Repayment of sustainable debt must be done by financial year ending 2029, according to MRA. Besides, there would be an allotment of 10% equity shares in the company with anti-dilution protection. JCF ARC represented approximately 20.6% of total institutional loan value as of Dec 31, 2025. The settlement value of OTS with JCF ARC was Rs 150 crore.

In a filing to stock exchanges, the company said restructuring of outstanding debt will be in accordance with MRA terms. Kolkata: McLeod Russel India Limited, one of the largest bulk tea producers in India, has entered into a Master Restructuring Agreement (MRA) with National Asset Reconstruction Company Limited, acting through India Debt Resolution Company Limited, for settlement of its debt. Constitution of a monitoring committee comprising representatives of the lender and the company to oversee implementation of restructuring was also part of MRA. Other conditions include a pledge of existing or proposed promoter shareholding in lieu of converting promoter debt to equity. NARCL will also have the right to appoint a nominee director. This was part of the company’s restructuring. JCF ARC was acting as trustee of JCF YES Trust for settlement of the company’s outstanding dues. Download the TOI App.

The debt-ridden tea producer was twice dragged to NCLT earlier by its debtors. Earlier this year, McLeod accepted a one-time settlement (OTS) sanction received from JC Flowers Asset Reconstruction Private Limited (JCF ARC).
